SEC extends deadlines for annual reports

The Securities and Exchange Commission (SEC) has extended further the deadlines for the submission of annual financial statements (AFS) and the General Information Sheet (GIS). 

In a notice issued on August 11, the Commission announced that corporations, regardless of their SEC registration or license numbers, will have until September 30 to submit the printed or hard copies of their AFS for the periods ending November 30, 2019 and December 31, 2019 to the SEC Main Office and Extension Offices.

Corporations, whose fiscal years ended between January 31, 2020 and June 30, 2020, shall have 30 more days to file the printed or hard copies of their AFS, as follows:

However, publicly listed companies, other issuers of registered securities and public companies shall continue complying with SEC Memorandum Circular No. 5, Series of 2020 and SEC Memorandum Circular No. 17, Series of 2020 in relation to their filing of annual reports.

Meanwhile, corporations, which held their annual stockholders’ meetings during the Enhanced Community Quarantine and Modified Enhanced Community Quarantine in Metro Manila, will have until September 30 to submit the printed or hard copies of their GIS to the SEC Main Office and Extension Offices. 

For SEC-Davao Extension Office (SEC-DEO) is giving companies options for the submission of their reports:

  1. Walk-Ins;

  1. Electronic mailing (e-mail) for evaluation purposes prior to submission of physical copies either personally or through mailing; or

  1. Mailing of reports through the Philippine Postal Office or courier service without submitting first via email

The SEC-DEO located at 2F, SDC Building, Purok 13, Maa Road, Davao City will operate with a skeleton workforce between 9 a.m. until 3 p.m., Mondays to Fridays, except holidays.

The extension office will allow the filing of the reports in PDF format through e-mail at reports_deo@sec.gov.ph prior to the submission of the hard copies to the extension office. The date of receipt shall be the date stated in the Acknowledgment Confirmation. 

Direct mailing of reports, either through the Philippine Postal Office or through courier services are likewise allowed, especially for those corporations who are located outside Davao City. The date of mailing of reports thru the Philippine Postal Office, as shown by the registry receipt, shall be considered as the reckoning date of submission. For reports submitted thru the filer’s courier of choice, the reckoning date of submission will be the date of mailing. SEC-Davao
